Terms & Conditions — PnP Movers

These terms apply to the PnP Movers suite — the trading-focused scanner available at /movers, /whale, and /kols. They are separate from the terms that govern the PnP Bank Statement Processor and the other tax tools on this platform.

1. Not Financial, Investment, or Trading Advice

PnP Movers is an informational tool only. Every number, label, signal, score, and tag surfaced by this product is presented for research and organizational purposes only and does not constitute financial advice, investment advice, tax advice, legal advice, or a recommendation to buy, sell, or hold any digital asset.

Cryptocurrency trading involves substantial risk of loss. You are solely responsible for any trading decisions you make. PnP Movers does not guarantee profits, minimize your losses, or verify the legitimacy of any token it lists.

2. Not a Custodian

PnP Movers never holds, controls, or has access to your tokens, wallets, or private keys. Access tiers are verified by reading the on-chain token balance of a wallet address you choose to connect. We never request withdrawal authority. We cannot initiate transactions on your behalf. We cannot recover tokens sent to any address.

3. On-Chain Data & Accuracy

Solana on-chain data is public. PnP Movers surfaces, aggregates, and labels that public data, but we make no representations or warranties regarding:

• The accuracy, completeness, or timeliness of market-cap, liquidity, holder-count, or volume data
• The classification of any wallet as a KOL, sniper, whale, or any other label
• Belief scores, risk scores, rug signals, or any computed metric
• Stake history reconstructed from on-chain transactions
• Any third-party data (DexScreener, Helius, Printr, Jupiter, Solscan, etc.)

Labels and notes applied by other users of the platform are user-submitted opinions, not editorial endorsements.

4. User-Submitted Content

Tagger-tier users (30M+ $PNP) can label wallets as KOLs, tag whales, and contribute to community signals. By doing so you acknowledge:

• Your tags and labels may be visible to other users of the platform
• You will not label wallets with defamatory, harassing, or knowingly false claims
• We reserve the right to remove any user-submitted content at our sole discretion
• Full-tier users (30M+ $PNP) may remove launches from the community list on behalf of the community; those removals affect what other users see

5. $PNP Token

The $PNP token is a utility token used solely to access features of the PnP Movers suite through a token-holding access program. It is designed to function as a Digital Tool in line with the SEC’s crypto-asset taxonomy (Release No. 33-11412) — a platform access credential, not an investment product.

(Note: The $PNPR token previously offered an alternative access path. As of April 2026 it has been deprecated and is no longer recognized for any tier. Only $PNP holdings and Printr stakes grant access. Existing $PNPR holders are thanked for their support.)

5.1 Access Program & Tier Thresholds

• View tier — 1,000,000+ $PNP staked on Printr. Grants read access to /movers, /whale, /kols.
• Tagger tier — 30,000,000+ $PNP held. Adds KOL tagging, whale tagging, and market-cap refresh.
• Full tier — 30,000,000+ $PNP held. Adds community-wide launch removal, fresh-token discovery, and pnp.tax tax-tool access.

Thresholds, tier names, and the set of features each tier unlocks may be modified, added, removed, or suspended at any time at our sole discretion as the product scales.

5.2 Not a Security

By holding or using $PNP in connection with this platform, you acknowledge and agree that:

• The token has no intrinsic value and is not an investment product, security, commodity, or financial instrument of any kind
• Holding the token does not confer ownership, equity, profit-sharing, voting, governance, or any other rights in PnP or any affiliated entity
• PnP does not make, and has never made, any representations or promises regarding the future value, price appreciation, or profitability of the token
• Token value may fluctuate significantly, including to zero, and you may lose the entire amount spent on tokens
• PnP makes no representations or warranties regarding the future value, liquidity, or transferability of the token
• The access-tier system is not an investment program and should not be treated as one
• You are solely responsible for any tax obligations arising from the purchase, sale, transfer, or use of the token

$PNP IS NOT AN INVESTMENT AND IS NOT A SECURITY. DO NOT PURCHASE WITH THE EXPECTATION OF PROFIT. IT IS A PLATFORM ACCESS CREDENTIAL — A DIGITAL TOOL.

6. No Refunds on Token Holdings

PnP does not sell $PNP directly. Tokens are acquired via third-party decentralized exchanges at prices set by the open market. All token purchases and sales are final. Because we are not the seller, we cannot refund, reverse, or compensate for any token transaction, regardless of whether the token continues to grant access at the time of purchase.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, P&P TAX AND ACCOUNTING LLC AND ITS OPERATORS, DEVELOPERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING WITHOUT LIMITATION TRADING LOSSES, LOST PROFITS, LOST DATA, OR LOSSES ARISING FROM TOKEN-VALUE FLUCTUATION — ARISING OUT OF OR RELATED TO YOUR USE OF PNP MOVERS OR $PNP.

8. Indemnification

You agree to indemnify and hold harmless P&P Tax and Accounting LLC and its operators, developers, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your use of PnP Movers, your trading activity, your user-submitted labels, or your violation of these terms.

9. Data Handling & Privacy

PnP Movers collects only the minimum data required to verify tier access — primarily your wallet address once you connect, a signed nonce, and a short-lived access-token cookie. For full details, see the Movers Privacy Policy.

10. Modifications

We reserve the right to modify these terms at any time. Continued use of PnP Movers after changes constitutes acceptance of the modified terms.

11. Governing Law

These terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles.
